Reserve Bank Information Technology Pvt Ltd (ReBIT) invites application from eligible candidates for the post of AVP – Company Secretary / Finance Manager. Reserve Bank Information Technology Pvt Ltd (ReBIT) has been set up by the Reserve Bank of India (RBI), to take care of the IT requirements, including the cyber security needs of the Reserve Bank and its regulated entities. ReBIT will focus on IT and cyber security (including related research) of the financial sector and assist in IT systems audit and assessment of the RBI regulated entities; advise, implement and manage internal or system-wide IT projects (both the existing & the new) of the Reserve Bank as mutually decided between the Reserve Bank and ReBIT. ReBIT will act as a catalyst for innovation, big systems and new ideas apart from having the capability to guide the regulated entities in the IT areas of their operations as also for the RBI’s IT related functions and initiatives. Given the need for inter-operability and cross-institutional cooperation, ReBIT will effectively participate in setting up of standards to strengthen Reserve Bank’s role as regulator.

Educational Qualification Required : Graduate in commerce / accounting and professionally qualified as Company Secretary.
Experience Required : Overall Work experience of 8-10 years, out of which minimum 3 years’ experience as company secretary and 3 years’ experience in handling finance. Drafting of Notice, Agenda of the Board Meeting/Committee Meetings and General Meeting. Organizing and Holding Board Meeting/Committee Meetings and General Meetings of the Company. Preparation of Minutes of Board Meeting/Committee Meeting/General Meeting of the Company. Maintenance of Secretarial Records, Statutory Books and Registers of the Company. Preparation of Directors’ Report and Annual Reports. E-filing of forms, applications and returns with Registrar of Companies. Filing Forms for Creation of Charge/Modification of Charge/Satisfaction of Charge with the coordination of the Bank. Filing necessary forms with the Registrar of Companies for Appointment and Resignation of Directors. Handling compliance under the Companies Act 2013 and other statutes. Monitoring changes in legislations and other regulatory procedures and ensuring timely action. Negotiation, review and drafting of a broad range of commercial agreements, including supply and sales agreements. Advising on general legal matters as well as critical strategic matters. Handling litigations and arbitrations. Driving a culture of compliance, including leadership in training and investigations. Identifying and managing outside counsel for specific matters as appropriate. Accounts: As part of the accounting function, monitoring and controlling day to day account department activities. Systems: Will implement new systems for project accounting considering the statutory and India Reporting expectations. Ensuring the system is operational and all system issues impacting the financials are resolved on timely basis with support of IT. Complete control over Chart of Accounts and Cost Centres. Budget preparation and monitoring: Will implement systems and controls to ensure the Project Budgets are strictly monitored and reported at periodic intervals. Employee Payroll Management and Governance. Management of statutory Compliances for Taxation, Provident Fund. Ensuring that all activities are coordinated to ensure timely filing of returns, statutory reporting and statutory compliances. Cross Functional knowledge of various aspects of accounting and finance like Direct/Indirect Taxation, Costing, Service Tax/Custom Duties, Transfer Pricing, Forex and Treasury operations etc. MIS – Preparation and Maintenance of MIS Report as per organizational requirement. Management of Internal Audit, Statutory Audits and Tax Audits. Knowledge of Excise / Service Tax and Sales Tax assessments and filling of monthly/Quarterly /Annual Returns. Knowledge of Capitalization and Maintenance of Fixed Asset Register as per Law. Managing cash flow and maintaining dashboards to assist management in prudent financial handling. Knowledge of Project Financing, Foreign Currency Market and Other Banking Activities. Investment of Surplus Funds of the Company.
